Terms of Service
Thank you for using the services provided by Mirra (hereinafter referred to as the 'Company'). These Terms of Service (hereinafter referred to as the 'Terms') stipulate the rights, obligations, and responsibilities between the user (hereinafter referred to as the 'Member') and the Company, and include all matters related to the use of the Company's services. Please read these Terms carefully.
Article 1 (Purpose)
The purpose of these Terms is to regulate the rights, obligations, responsibilities, and other necessary matters between the Company and Members in relation to the use of the Mirra service (hereinafter referred to as the 'Service').
Article 2 (Definitions)
The definitions of terms used in these Terms are as follows.
- Service: All services provided through the Mirra platform operated by the Company, including AI-powered Threads content creation, automatic posting, account analysis, and other features.
- Member: An individual or legal entity that agrees to these Terms, enters into a use agreement with the Company, and uses the Service.
- ID: A combination of letters and numbers determined by the Member and approved by the Company for the identification of the Member and use of the Service.
- Password: A combination of letters or numbers set by the Member to confirm that they are the Member matching the assigned ID and to protect confidentiality.
- Content: All digital materials such as text, images, and videos created or posted by Members through the Service.
Article 3 (Effectiveness and Modification of Terms)
1. These Terms become effective for all Members who wish to use the Service, and Members are deemed to have agreed to these Terms upon joining the Service.
2. The Company may modify these Terms within the scope of complying with relevant laws, and the modified Terms become effective by posting the application date and changes on the homepage.
3. If Members do not agree to the modified Terms, they may discontinue using the Service and request membership withdrawal. Continued use of the Service after the effective date of the modified Terms shall be deemed as acceptance of the modified Terms.
Article 4 (Provision and Modification of Services)
1. The Company provides Members with the following services.
- AI-based Threads content creation and automatic posting services
- Threads account integration and data analysis services
- All other services developed by the Company or provided through partnership agreements
2. The Company may modify the content and delivery method of the Service, and changes will be notified to Members in advance. However, if advance notice is difficult due to unavoidable reasons such as urgent system maintenance or technical issues, notification may be provided after the fact.
Article 5 (Establishment of Service Use Contract)
1. A service use contract is established when a Member agrees to these Terms, fills in Member information according to the registration form established by the Company, applies for membership, and the Company accepts the application.
2. The Company may refuse or defer acceptance of applications that fall under any of the following categories.
- The applicant has previously lost membership status under these Terms
- The application is not in the applicant's real name or uses another person's name
- False information is provided or required information is not provided
- Other cases where approval is impossible due to the applicant's fault or violates the Company's policies
Article 6 (Member Obligations)
1. Members must not engage in any of the following acts when using the Service.
- Misappropriating or fraudulently using others' personal information
- Interfering with the Company's operations or causing service disruptions
- Using the Service for illegal or improper purposes
- Infringing on the Company's intellectual property rights or third-party rights
2. Members are responsible for managing their ID and password to prevent disclosure to third parties, and the Company is not liable for damages caused by negligent management.
Article 7 (Service Use Restrictions)
1. The Company may take measures such as warnings, account suspension, or contract termination if a Member violates the obligations of these Terms or interferes with normal service operations.
2. The Company may restrict Members' use of the Service in the following cases.
- Failure to pay service usage fees (when using paid services)
- Providing illegal programs, interfering with operations, hacking, or distributing malicious code
- Other acts that interfere with the Company's normal service provision
Article 8 (Limitation of Liability)
1. The Company is not liable if it cannot provide the Service due to force majeure such as natural disasters, war, telecommunications service provider service interruption, or hacker attacks.
2. The Company is not liable for service use failures caused by the Member's fault.
3. Liability for damages from content generated by the Service, automation features, and service use: The Company is not liable for any damages (e.g., Threads account suspension, disputes with third parties, defamation, copyright infringement, etc.) arising from AI-generated content, the operation and results of all automation features within the Service (including automatic posting), or the process of using the Service. Members are responsible for reviewing content generated through the Service or processed through automation features and for all consequences of posting or using such content.
4. The Company is not liable for failure to achieve expected profits from using the Service or damages arising from materials obtained through the Service.
Article 9 (Intellectual Property Rights)
1. Intellectual property rights to all content included in the Service, such as software, design, text, graphics, and logos, belong to the Company or the respective rights holder.
2. Members may not reproduce, distribute, modify, sell, or lease any part or all of the Service without the Company's prior permission.
3. While rights to content created by Members through the Service belong to the Members, the Company has the right to use such content without limitation for service operation, promotion, and improvement purposes.
Article 10 (Paid Services)
1. The Company may provide some services for a fee, and details about paid services, fees, and payment methods will be announced separately.
2. When Members use paid services, payment is processed through a payment service provider (such as Stripe), and the Company does not directly store sensitive payment information.
3. Refund policies for paid services follow the Company's separate policies, and Members should review the Company's policies when requesting refunds.
Article 11 (Contract Termination and Membership Withdrawal)
1. Members may terminate the use contract at any time through the 'Withdraw Membership' function within the Service.
2. Upon membership withdrawal, Members' personal information is processed according to the Company's Privacy Policy and is destroyed after being stored for a certain period according to relevant laws.
3. The Company may terminate the use contract without prior notice if a Member violates these Terms or causes significant disruption to service operations.
Article 12 (Dispute Resolution)
1. In the event of a dispute related to these Terms and use of the Service, both parties shall make efforts to resolve it through mutual consultation.
2. If resolution through consultation is not achieved, disputes shall be resolved in accordance with the laws of the Republic of Korea, and jurisdiction shall be with the court having jurisdiction over the location of the Company's headquarters.
